Contracting legal entity
VaultLabs For Laboratories Chemicals Trading L.L.C ("VaultLabs", "we", "us") is the contracting seller for all catalogue orders placed through https://www.vaultlabs.shop. Trading name: VaultLabs. VaultLabs does not provide medical, veterinary, diagnostic, or personal-use advice through any channel.
Scope and research-use-only supply
All VaultLabs products are supplied strictly for laboratory and research use only. They are not intended for human consumption, medical use, personal use, or diagnostic use. VaultLabs does not provide dosage, administration, study-design, or medical guidance. Catalogue items are reference-grade research materials — not medicines, foods, supplements, cosmetics for personal application, or medical devices. By using this website or placing an order you agree to these Terms and our linked policies.
Account eligibility and authority to purchase
You must be at least 21 years old and have legal capacity to contract. You represent that you are purchasing for a qualified laboratory, institutional research programme, or authorised procurement channel — not for personal, household, athletic, cosmetic, or clinical use. If purchasing on behalf of an organisation, you represent that you have authority to bind that organisation. VaultLabs may request evidence of authority or institutional affiliation before dispatch.
Verified research customer approval
VaultLabs may approve, place on hold, or decline orders based on checkout declarations, account history, order context, wholesale status, and documentation provided. We may require institutional affiliation, laboratory details, end-use statements, import documentation, or other verification before releasing an order. Failure to provide satisfactory information within a reasonable time may result in cancellation and refund of amounts paid, minus non-refundable payment processing costs where applicable law permits.
Prohibited uses
Products must not be used for human or animal consumption, personal use, veterinary administration outside approved institutional research, diagnostic use, clinical use, therapeutic use, cosmetic personal application, athletic enhancement, or any off-label human application. You must not resell, redistribute, or export products without appropriate licensing and regulatory authorisation in each relevant jurisdiction. You must not use the website to seek dosing, administration, injection, or medical guidance.
Resale and redistribution
Resale, brokered supply, or redistribution of VaultLabs materials without appropriate trade licensing, import authorisation, and regulatory compliance is prohibited. Institutional buyers remain responsible for internal transfer controls and downstream use within their qualified research environment.
Orders, acceptance, and contract formation
Placing an order constitutes an offer to purchase subject to these Terms. The merchandise subtotal (before discount, delivery, and VAT) must be at least AED 150. A binding contract forms only when VaultLabs accepts the order and confirms it by email, dashboard status, or dispatch notice. Prices are displayed in AED and may include VAT at 5% where applicable. We may correct catalogue or pricing errors before acceptance. Checkout research purchaser declarations are material terms of your offer and are recorded with a timestamp.
Order review, rejection, and cancellation
VaultLabs may refuse, decline, suspend, or cancel any order where required by law, stock availability, suspected fraud, address verification failure, inability to verify research use, export or import concerns, or other legitimate business or compliance reasons. You may request cancellation before dispatch by contacting support@vaultlabs.shop; if the order has already been released to the courier, cancellation may not be possible. Where cancellation occurs before dispatch, eligible amounts are refunded according to our Refund Policy and applicable UAE law.
Payment, VAT, and invoicing
Card and wallet payments are processed by Tamara, Apple Pay. You authorise charges for the order total including applicable VAT, delivery fees, and any payment surcharges shown at checkout. VAT-compliant tax invoices are issued for paid orders where applicable. Orders may remain pending until payment confirmation. You are responsible for providing accurate billing and delivery details.
Cash on delivery
Cash on delivery may be offered at checkout for eligible delivery addresses within All seven emirates. Where selected, the full order total shown at checkout — including VAT and any delivery fee — is payable in AED to the courier at the point of delivery. The courier may require the exact amount and may ask the recipient to confirm identity before releasing the parcel. Title to the goods does not pass until payment is collected in full. If payment is refused or cannot be collected, the parcel is returned to us and the order is cancelled; we may decline cash on delivery for later orders from the same customer or address and ask for electronic payment instead. Cash on delivery is not available for orders placed under a verified B2B account with agreed settlement terms, and may be withheld where an order fails address or research-use verification. Refunds on cash-on-delivery orders are made by bank transfer to an account in the customer's name under our Refund Policy.
Shipping, inspection, and risk of loss
Delivery within All seven emirates is subject to our Shipping Policy. Delivery estimates are indicative. You must inspect parcels promptly on delivery and report damage, shortage, or temperature concerns within 48 hours as stated in our Refund Policy. Risk of loss or damage passes to you upon confirmed delivery to the address you provided, except where mandatory UAE consumer law provides otherwise or we have agreed in writing to different terms for a verified B2B contract.
Batch-specific documentation
Certificates of Analysis (COA) and batch records are published only for specific lots when uploaded to our verification portal. COA availability varies by product and batch. Published COA documents support lot traceability and analytical reference — they are not instructions for human or animal use and do not replace your incoming material qualification procedures. You must verify lot identity against dispatch documentation on receipt.
Product specifications and permitted tolerances
Product strength, format, and appearance are described on product pages and labels. Analytical results on published COA documents reflect the tested lot only. Minor label or packaging variations that do not affect sealed product identity or laboratory qualification may occur. Materially incorrect fulfilment relative to the paid order record is handled under our Refund Policy.
Returns and damaged delivery
Returns, replacements, and refunds are governed by our Refund Policy. Research materials are generally not returnable once seals are broken or laboratory integrity is compromised. Transit damage and fulfilment errors must be reported within the stated window with supporting evidence.
Warranties and disclaimer
We warrant that materials are supplied as described on the paid order record and, where a Certificate of Analysis is published for the lot, that the certificate reflects the analytical testing carried out on that lot. Beyond this, and to the fullest extent permitted by law, materials are supplied "as is" for qualified laboratory use, and we give no warranty of fitness for any particular research design, protocol, assay, or downstream application, no warranty of merchantability beyond the description supplied, and no warranty that results obtained in your laboratory will match any published figure. Materials are not pharmaceutical products, are not approved by any medicines regulator, and no representation of therapeutic, diagnostic, preventive, or nutritional benefit is made or should be inferred from any part of this website. Nothing in this section limits rights that cannot be limited under mandatory UAE consumer protection law.
Purchaser competence and assumption of risk
By ordering, you confirm that you or your organisation have the scientific training, facilities, containment, and procedures required to receive, identify, store, handle, and dispose of research chemicals safely and lawfully, and that you accept responsibility for determining whether a material is suitable for your intended in vitro work. You are responsible for your own risk assessment, for compliance with your institution's policies, and for supervision of anyone you allow to access the materials. You accept the risks inherent in handling research chemicals, other than risks arising from our own breach or negligence.
Storage, handling, and responsibility after delivery
Once delivery is complete, control of storage conditions passes to you. Stability, potency, and analytical characteristics depend on storage and handling after delivery, and we are not responsible for degradation, contamination, mislabelling, decanting, dilution, repackaging, or loss of traceability that occurs in your possession. If you transfer material to any third party, you remain responsible for passing on the research-use restrictions and handling information supplied with it, and you become responsible for that party's use.
Export control, sanctions, and financial crime
You must not export, re-export, tranship, or otherwise move materials in breach of UAE export control law or any applicable sanctions regime, and you must not resupply any person or entity subject to applicable sanctions or designated lists. You confirm that funds used to pay for orders are from lawful sources. We may screen orders, request additional identity or end-use information, delay or refuse fulfilment, and report to competent authorities where required by law. We may cancel an order at any point where screening raises a legitimate concern, and we are not liable for loss arising from a cancellation made on these grounds.
Time limit for bringing claims
Delivery-related claims (damage, shortage, incorrect items, temperature concerns) must be raised within 48 hours of delivery as set out in our Refund Policy. Any other claim arising out of or in connection with an order must be notified to us in writing within twelve months of the delivery date, giving reasonable detail, so that we can investigate while records and retained samples remain available. This does not shorten any limitation period that cannot be varied by agreement under UAE law.
Events outside our control
We are not liable for delay or failure to perform caused by events beyond our reasonable control, including courier disruption, customs or regulatory action, supplier or manufacturing failure, power or network outage, payment provider outage, fire, flood, extreme weather, epidemic, industrial action, civil unrest, armed conflict, or changes in law. Where such an event materially affects an order we will contact you and, if performance remains prevented, cancel the affected order and refund amounts paid for undelivered items.
Intellectual property
Website content, branding, product labels, documentation layouts, and COA presentation formats are owned by VaultLabs or licensors. You may not copy, scrape, reverse engineer, misrepresent, or reuse VaultLabs materials without written permission.
Account suspension and termination
We may suspend or terminate accounts, block checkout, or refuse future orders where we reasonably believe these Terms, the Acceptable Use Policy, or applicable law have been breached, or where continued supply presents compliance risk. Provisions that by nature should survive termination (including payment obligations, prohibited use, liability limits permitted by law, and governing law) continue to apply.
Liability
VaultLabs supplies research materials for qualified in vitro use. To the extent permitted by UAE law, we are not liable for indirect or consequential loss arising from research outcomes, improper storage after delivery, or use contrary to these Terms. Our aggregate liability for any order is limited to the amount you paid VaultLabs for that order, except that nothing in these Terms limits liability that cannot be limited under mandatory UAE consumer protection or other non-excludable law. Your statutory rights as a consumer in the UAE, where applicable, remain unaffected.
Indemnity
You agree to indemnify and hold harmless VaultLabs For Laboratories Chemicals Trading L.L.C, its officers, employees, and suppliers against claims, losses, liabilities, fines, and reasonable legal costs arising from your breach of these Terms or the Acceptable Use Policy, your use or onward supply of materials contrary to the Research Use Policy, any administration of materials to humans or animals, your failure to store or handle materials in accordance with their labelling after delivery, or your provision of inaccurate purchaser, licensing, or delivery information. This indemnity does not apply to loss caused by our own breach or negligence, and does not limit or exclude rights that cannot be excluded under mandatory UAE consumer protection law.
Governing law and jurisdiction
These Terms are governed by the laws of the United Arab Emirates. Disputes shall be subject to the exclusive jurisdiction of the courts of Dubai, United Arab Emirates, without prejudice to mandatory consumer rights that may require a different forum under applicable UAE law.
Changes to these terms
We may update these Terms to reflect changes in law, licensing, operations, or the services we offer. The version published on this page when you place an order is the version that governs that order, so a later change does not alter a contract already formed. Material changes are reflected in the version number and last-updated date shown at the top of this page, and previous versions are available on request.
Notices and electronic communication
You consent to receiving contractual notices, order documents, invoices, and policy updates electronically. Notices to you are sent to the email address on your order or account and are treated as received on the day of sending unless we receive a delivery failure. Notices to us must be sent to support@vaultlabs.shop and are treated as received on the next UAE business day. It is your responsibility to keep your contact details current and to check for messages, including in spam filters.
Assignment and subcontracting
You may not assign or transfer your rights or obligations under these Terms without our written consent. We may assign these Terms as part of a reorganisation or transfer of our business, and may use couriers, payment providers, and other subcontractors to perform our obligations, remaining responsible for their performance of the parts we have contracted them to carry out.
Severability, waiver, and entire agreement
If any provision of these Terms is found unenforceable, it is modified to the minimum extent necessary or severed, and the remaining provisions continue in force. A delay or failure to enforce a right is not a waiver of it, and a waiver on one occasion does not waive it on another. These Terms, together with the policies they reference and the paid order record, form the entire agreement between us for the supply of materials and replace any earlier discussion, quotation, or representation, except that nothing excludes liability for fraud or fraudulent misrepresentation.
Survival
Provisions that by their nature should continue after an order is completed or an account is closed remain in force, including those covering research-use restrictions, prohibited uses, resale, intellectual property, liability limits, indemnity, export and sanctions obligations, time limits for claims, and governing law.
Complaints procedure
Complaints about orders, documentation, delivery, or privacy should be emailed to support@vaultlabs.shop with your order reference and a clear description. We acknowledge most complaints within 2 UAE business days and aim to provide a substantive response within 10 UAE business days. See our Complaints Policy for escalation steps.
